# SELLER GUIDELINES
## Legal Guide for GeoChain Data Vendors

## INTRODUCTION

This Seller Guidelines document provides legal and practical guidance for Users who list and sell geospatial data on the GeoChain marketplace. These guidelines complement the Terms & Conditions, Privacy Policy, and Acceptable Use Policy, and should be read in conjunction with those documents.

**These guidelines are informational and non-binding, but violations of underlying legal obligations may result in account termination and legal liability.**

## 1. BEFORE YOU SELL: LEGAL OBLIGATIONS

### 1.1 Data Ownership & Rights Verification

**Before uploading any Data, verify:**

✓ You own the Data outright, OR  
✓ You have a valid license or permission to sell the Data, OR  
✓ The Data is in the public domain or licensed under Creative Commons or similar  
✓ The license permitting resale hasn't been revoked or expired  
✓ You have obtained necessary permissions from all co-owners or rights holders  

**Questions to Ask Yourself:**
- "Did I collect this data myself?"
- "Does my license agreement permit resale?"
- "Are there any restrictions on commercial use?"
- "Do I need permission from anyone else?"

**If you answered NO to any question above, DO NOT sell the Data.**

### 1.2 Intellectual Property Compliance

**Ensure your Data:**
- Does NOT infringe copyrights (is original or properly licensed)
- Does NOT violate patents or proprietary methods
- Does NOT include trademarked materials without authorization
- Does NOT contain trade secrets without permission
- Does NOT use other people's work without credit or license

**Example:** If your geospatial data is derived from a licensed mapping service, check whether the license permits redistribution.

### 1.3 Privacy Law Compliance (GDPR/CCPA)

**If your Data includes ANY personal information about individuals:**

✓ Obtain documented consent from those individuals, OR  
✓ Anonymize/pseudonymize the data so individuals cannot be identified, OR  
✓ Rely on legitimate exemptions under GDPR/CCPA (research, aggregate data, etc.)  
✓ Document your legal basis for including personal data

**Privacy Red Flags:**
- Names or email addresses linked to locations
- Home addresses or residential information
- Phone numbers or personal contacts
- Social Security numbers or ID numbers
- Medical or financial information
- Genetic or biometric data

**If your data contains personal information and you're not sure whether you can sell it, CONSULT A LAWYER before uploading.**

### 1.4 Export Control & Sanctions Compliance

**Check whether your Data is subject to:**
- US Export Control Regulations (EAR) - for dual-use technology or military information
- ITAR (International Traffic in Arms Regulations) - for defense technology
- UN Sanctions or embargoes
- National security restrictions

**Common Export-Controlled Geospatial Data:**
- Military installation locations
- Critical infrastructure details
- Satellite imagery with high resolution
- Data from sanctioned countries

**If uncertain, consult with compliance counsel or contact the US Bureau of Industry and Security.**

### 1.5 Accuracy & Completeness Representation

**Before selling, warrant that:**
- Data is accurate to the best of your knowledge
- Data is complete and not materially deficient
- Data is current as of the date specified
- Any known limitations are disclosed in the listing
- Data matches the description provided

## 2. CREATING YOUR LISTING

### 2.1 Accurate Data Description

**Your listing must accurately describe:**

**Data Content:**
- Geographic area/extent covered
- Types of features or information included
- Data resolution/accuracy levels
- Units of measurement
- Data format (GeoJSON, shapefile, raster, etc.)
- Number of features or records
- Temporal coverage (dates/years included)

**Data Characteristics:**
- Known limitations or errors
- Data sources (if publicly available)
- Collection methodology
- Processing or modifications applied
- Updating schedule (if applicable)

**Example of GOOD description:**
"California state boundaries in vector format (shapefile). Derived from public USGS data, simplified to 1:100,000 scale. 2023 boundaries. Includes state name, FIPS code, and area. Free to use for any purpose."

**Example of BAD description (too vague):**
"California map data. Buy now!"

## 3. SUPPORT

### 3.1 Official Channels
- In‑app chat on `https://market.geo-chain.xyz/` (GeoChain Assistant)
- Official Discord Support server

### 3.2 Best Practices
- Do not share Secret Recovery Phrase (SRP), private keys, passwords, or 2FA codes
- Provide Listing ID and relevant details when seeking assistance
- Request a human agent in chat for complex issues
- Support is provided in English

### 2.2 Licensing Terms Clarity

**Clearly specify the license model Buyers receive:**

**License Type Options:**
- **Personal Use Only**: Buyer may use data for individual, non-commercial purposes
- **Commercial License**: Buyer may use data for business purposes and profit
- **Transferable License**: Buyer may sublicense to third parties
- **Attribution Required**: Buyer must credit you in their work
- **No Modification**: Buyer cannot alter or derive from data
- **Full Ownership Transfer**: Buyer owns data outright
- **Restricted Distribution**: Buyer cannot resell data

**Example of CLEAR licensing:**
"License Type: Commercial. Buyer may use this data for commercial purposes, including incorporating into products for sale. Buyer may NOT transfer or resell this data to others. Attribution to 'Original Source LLC' is appreciated but not required."

**Example of UNCLEAR licensing (AVOID):**
"Standard license. Some restrictions may apply. Ask us if unsure."

### 2.3 Pricing & Disclosures

**Your pricing must:**
- Be accurately displayed
- Reflect the actual value and scope of data
- Not be deceptively low (bait-and-switch tactics)
- Clearly state what is included
- Disclose any limitations affecting value

**Price Transparency:**
- Display price clearly before Buyer purchases
- Include the 5% GeoChain commission in your pricing expectations
- Note that Buyers pay 102% of listing price (including 2% commission)
- Remember YOU receive 97% of purchase price

**Example:**
If you list data at 10 XRP:
- Buyer pays: 10.20 XRP (includes 2% commission = 0.20 XRP)
- You receive: 9.70 XRP (97% of 10 XRP)

### 2.4 Source & Provenance Disclosure

**If your data is derived from other sources:**
- Disclose your data sources
- Verify you have permission to redistribute
- Provide attribution if required by original license
- Document your licensing chain (to prove you have rights to resell)

**Example:**
"Data derived from [Original Source], used with permission under [License Type]. For full licensing details, contact original provider at [contact info]."

## 3. LEGAL REPRESENTATIONS YOU'RE MAKING

### 3.1 Representations & Warranties

When you upload and sell Data on GeoChain, you legally represent and warrant:

**3.1.1 Ownership & Rights**
- You own the Data outright, OR have valid license to sell it
- You have obtained all necessary permissions
- You are not violating any third-party rights
- No other party has competing claims to the Data
- You did not steal, copy, or infringe to obtain the Data

**3.1.2 Legality**
- The Data does not violate any law
- The Data does not facilitate illegal activities
- The Data is not subject to export controls without proper authorization
- The Data is not stolen property or contraband
- The Data does not violate applicable regulations

**3.1.3 Accuracy**
- The Data is accurate as described
- You have disclosed known defects or limitations
- The Data is fit for its described purpose
- The Data is not intentionally misleading
- You warrant data quality in your listing description

**3.1.4 Privacy Compliance**
- If data includes personal information, you have obtained consent OR properly anonymized it
- You are compliant with GDPR, CCPA, and applicable privacy laws
- You have not violated any individual's privacy rights
- Any personal data included has legal basis for inclusion

**IMPORTANT: If you cannot honestly make these representations, DO NOT UPLOAD THE DATA.**

### 3.2 Indemnification Obligation

You agree to indemnify (defend and compensate) GeoChain for:
- Any claims that your Data violates intellectual property rights
- Any claims that your Data violates privacy laws
- Any claims that your Data is illegal or non-compliant
- Legal fees and damages arising from your Data
- Law enforcement investigations related to your Data
- Any harm caused by your Data to third parties

**What this means:** If someone sues because of your Data, YOU pay GeoChain's legal fees and any damages awarded.

## 4. PROHIBITED ACTIVITIES

### 4.1 DO NOT Upload

**❌ DO NOT upload Data that:**

1. **Violates Criminal Law**
   - Is stolen or obtained illegally
   - Facilitates fraud, money laundering, or terrorism
   - Contains instructions for illegal activities
   - Relates to weapons, drugs, or contraband

2. **Violates Privacy Laws**
   - Contains personal information without consent
   - Includes names, addresses, or contact info without authorization
   - Reveals someone's location without permission
   - Includes medical, financial, or sensitive information

3. **Infringes Intellectual Property**
   - Copies someone else's work without permission
   - Violates licensing agreements
   - Uses trademarked materials improperly
   - Violates patents or trade secrets

4. **Contains Malware**
   - Includes viruses, trojans, or other malicious code
   - Contains hacking tools or exploits
   - Includes spyware or monitoring software

5. **Facilitates Fraud or Harm**
   - Could be used to commit fraud or scams
   - Enables harassment, stalking, or violence
   - Targets vulnerable populations
   - Facilitates discrimination

6. **Subject to Export Controls**
   - Military or defense-related information
   - Sanctioned country data
   - Dual-use technology
   - Critical infrastructure details

### 4.2 DO NOT Engage In

**❌ DO NOT:**

1. **Misrepresent Data**
   - Falsely describe content or accuracy
   - Hide known defects
   - Exaggerate value or capabilities
   - Use misleading marketing

2. **Deceptive Pricing**
   - Use bait-and-switch tactics
   - Fail to disclose limitations
   - Artificially inflate prices

3. **Account Fraud**
   - Create fake accounts to boost ratings
   - Use fake reviews or testimonials
   - Impersonate other sellers
   - Manipulate the rating system

4. **Market Manipulation**
   - Coordinate with other sellers to fix prices
   - Create artificial demand
   - Conduct pump-and-dump schemes

## 5. DATA SECURITY & ENCRYPTION

### 5.1 Understanding GeoChain's Encryption

**How it works:**
1. You upload Data → GeoChain encrypts it
2. Data is stored encrypted on Backblaze B2 → GeoChain cannot read it
3. Buyer purchases Data → Buyer receives decryption key
4. Buyer decrypts Data locally on their computer

**Important:** GeoChain cannot access your Data at any time, so GeoChain cannot verify it for compliance or quality. YOU are responsible for ensuring your Data is compliant and not illegal.

### 5.2 Your Responsibility for Data

**You must:**
- Verify Data is not malicious before upload
- Ensure Data is not corrupted or damaged
- Test Data can be downloaded and used properly
- Maintain your own backup of Data
- Accept responsibility if Data is defective

**GeoChain will NOT:**
- Verify Data quality or accuracy
- Test Data functionality
- Scan Data for malware (relies on user responsibility)
- Guarantee Data will work on Buyer's systems
- Provide tech support for your Data

## 6. DELIVERY & BUYER INTERACTION

### 6.1 Automatic Delivery

**After Buyer payment:**
- Smart contract confirms transaction
- Decryption key is automatically generated
- Buyer receives decryption key access
- No manual action required from you
- Buyer can decrypt and download Data

### 6.2 Seller Communication

**You may communicate with Buyers regarding:**
- Data clarifications or questions
- Technical support for your specific Data
- Licensing questions
- Data updates or corrections

**You may NOT:**
- Offer to conduct transactions outside the Platform (to avoid fees)
- Request personal information or payment methods
- Attempt to move relationship off-Platform
- Engage in harassment or discrimination

### 6.3 Handling Buyer Issues

**If a Buyer complains:**
1. Respond professionally and promptly
2. Attempt to resolve the issue
3. Offer clarification or corrected Data if needed
4. Participate in GeoChain dispute resolution
5. Accept GeoChain's dispute determinations

**Common Issues:**
- "Data doesn't match description" → Clarify, provide corrected Data if needed
- "Data won't decrypt" → Assist with decryption issues, contact GeoChain if technical
- "Quality isn't as promised" → Dispute process through GeoChain

## 7. ACCOUNT MANAGEMENT

### 7.1 Account Best Practices

**Secure your account:**
- Use a strong, unique password
- Enable multi-factor authentication
- Keep email updated and monitored
- Do not share your account
- Log out from shared computers
- Monitor your account activity regularly

### 7.2 Multiple Listings

**You may:**
- List multiple Data products
- Update listings with corrected information
- Remove listings at any time
- Adjust pricing for future purchases

**You may NOT:**
- Create duplicate accounts to circumvent rules
- Use fake accounts to boost ratings
- Create multiple listings for identical Data

### 7.3 Account Suspension or Termination

GeoChain may suspend or terminate your account if:
- You violate Terms & Conditions or this Policy
- You upload illegal or non-compliant Data
- You engage in fraud or deceptive practices
- You fail to respond to compliance inquiries
- You are subject to sanctions or legal restrictions
- Your Data is found to infringe third-party rights
- You harass other Users or abuse Platform

## 8. TAX & LEGAL OBLIGATIONS

### 8.1 Tax Reporting

**You are responsible for:**
- Understanding tax obligations in your jurisdiction
- Reporting income from Data sales for tax purposes
- Calculating capital gains taxes on sales
- Complying with income tax requirements
- Maintaining records of transactions

**GeoChain does NOT:**
- Provide tax advice
- Automatically report your sales to tax authorities (in some cases, may issue 1099s in USA)
- Calculate taxes owed
- Handle tax payments

**Recommendation:** Consult with a tax professional regarding your specific situation.

### 8.2 Legal Compliance

**You are responsible for ensuring:**
- Your Data complies with all applicable laws
- Your Data does not violate intellectual property rights
- Your Data respects privacy regulations (GDPR, CCPA, etc.)
- You are not violating any licensing agreements
- Your commercial activities comply with local regulations

**Recommendation:** If unsure about legality, consult a lawyer before selling.

### 8.3 Liability for Data

**GeoChain assumes NO liability for:**
- Your Data content or accuracy
- Third-party claims against your Data
- Intellectual property infringement claims
- Privacy law violations
- Illegal activities involving your Data
- Damages caused by your Data

**You ARE liable for:**
- Any harm caused by your Data
- Infringement claims
- Privacy violations
- Contractual obligations to Buyers

## 9. DATA DELETION & ACCOUNT CLOSURE

### 9.1 Deleting Data

**You can delete your Data at any time:**
1. Go to your Data listing
2. Select "Delete" or "Remove from sale"
3. Confirm deletion
4. Data is removed from Backblaze B2 storage
5. Buyers lose Platform access to Data

**Important:** Already-purchased Data remains with Buyers (they have decryption keys), but future Buyers cannot access it through Platform.

### 9.2 Account Deletion

**If you delete your account:**
- All your listing disappear from Platform
- Your Data is deleted from storage (after customer access period expires)
- Your profile is removed
- Transaction history is retained (for legal/blockchain reasons)
- You cannot recover deleted listings

**Notification:** Buyers will be notified of account deletion and advised to backup their purchased Data.

## 10. DISPUTE RESOLUTION

### 10.1 Buyer Disputes

**If a Buyer disputes your Data:**
1. You will receive notification
2. You have opportunity to respond
3. GeoChain will review evidence from both sides
4. GeoChain makes determination
5. You must accept determination

### 10.2 Supporting Your Case

**Provide:**
- Accurate Data description you provided
- Evidence of Data authenticity and accuracy
- Communication with Buyer
- Documentation of your rights to sell Data
- Any relevant agreements or licenses

### 10.3 Dispute Outcomes

**Possible outcomes:**
- Dispute dismissed (you're right)
- Dispute sustained (Buyer's claim is valid)
- Partial resolution (shared responsibility)
- Data marked with quality warning (if disputes repeat)

**If disputes sustain:** Your account may be suspended or terminated.

## 11. COMPLIANCE CHECKLIST

**Before uploading Data, confirm:**

☐ I own the Data or have valid license to sell  
☐ I have permission from all co-owners/rights holders  
☐ The Data does not violate any intellectual property rights  
☐ The Data includes no personal information OR is properly anonymized  
☐ The Data is not subject to privacy law violations  
☐ The Data is not illegal or subject to export controls  
☐ The Data is accurate as I am describing it  
☐ The Data contains no malware or malicious code  
☐ I have disclosed all known limitations or defects  
☐ My licensing terms are clear and accurate  
☐ I have not engaged in deceptive practices  
☐ I understand my legal liability for the Data  

**If you cannot confirm all items above, DO NOT UPLOAD.**
